Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing silicon solutions, has announced the closing of a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment strengthens Edgewater's financial position and aligns it with semiconductor industry expertise as the company progresses toward prototype validation and commercial engagements.

The private placement, structured in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units. Each unit consists of one common share and one warrant, exercisable at $0.09 per share for two years. SCA participated in the second tranche, investing $96,000, alongside Edgewater Chairman Brian Imrie, who also invested an additional $96,000. This brings the total funding to support the development of Edgewater's PrismIQ platform and its next-generation Spectrum Slicing technology.

SCA's involvement marks a deepening of Edgewater's relationship with Silicon Catalyst, an ecosystem that provides strategic support to semiconductor startups. Edgewater was selected as a Silicon Catalyst Portfolio Company in November 2024, gaining access to over 500 industry experts, in-kind design resources, and other commercialization tools. The addition of SCA as an investor, along with Silicon Catalyst COO Nick Kepler serving as a board observer, provides Edgewater with valuable industry insights and connections.

With 26 patents granted and three AI-related patents pending, Edgewater is positioning itself as a leader in intelligent wireless solutions.

The company plans to use the net proceeds for semiconductor design, engineering, and product development related to its Spectrum Slicing prototype, as well as general working capital.
