G Mining Ventures Completes Acquisition of G2 Goldfields, Creating Tier-One Gold Complex in Guyana

G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, creating what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana. The transaction combines the adjacent Oko West and Oko-Ghanie deposits, which are expected to generate significant operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity and enhanced operational flexibility.

Under the terms of the arrangement, each G2 Goldfields share was exchanged for 0.212 common shares of GMIN and 0.50 common shares of G3 Goldfields, a newly spun-out entity. The deal positions GMIN to leverage its proven development expertise and strong access to capital to advance the combined project. The company is already anchored in mining-friendly jurisdictions, including Brazil with the Tocantinzinho Gold Mine and the Gurupi Project, and now Guyana with the Oko West Project.

GMIN clarified that previously disclosed mineral resource estimates for the Oko-Ghanie Project should be considered historical estimates under NI 43-101 and not current mineral resources from GMIN’s perspective. The company stated it will undertake additional geological modeling, data integration and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report in 2027.

The acquisition underscores GMIN’s strategy to grow into a mid-tier precious metals producer by consolidating adjacent assets. The combined complex is expected to benefit from shared infrastructure, reducing capital and operating costs, and providing greater processing capacity and operational flexibility. This move is significant for the gold mining sector in Guyana, a country known for its favorable mining policies and geological potential.
