Greenland Mines Ltd (NASDAQ: GRML) announced Tuesday that its board of directors has adopted a limited-duration stockholder rights plan, effective July 22, 2026, designed to protect stockholders from coercive takeover tactics and ensure they receive full and fair value in connection with any proposal to acquire the company or obtain control. The rights plan will remain in effect for one year unless redeemed, exchanged or otherwise terminated earlier.

Under the plan, rights generally become exercisable if a person or group acquires beneficial ownership of 15% or more of the company's outstanding common shares, with certain existing holders grandfathered under specified conditions. The company said the plan is intended to provide the board with time to evaluate acquisition proposals and does not prevent it from considering or accepting offers determined to be in the best interests of stockholders.

The adoption of the rights plan comes as Greenland Mines continues to advance its dual focus on mining and biotechnology. The company's mining division is centered on the exploration and development of the Skaergaard Project in southeast Greenland and, subject to closing of a previously announced transaction, the Sarfartoq neodymium-praseodymium (Nd-Pr) rare earths project in southwest Greenland. Meanwhile, its biotech division is advancing Klotho's KLTO-202 primary indication for ALS.

Greenland Mines' strategy is built on creating a multi-asset platform with exposure to rare earth magnet materials, precious metals and selected midstream processing opportunities, while advancing its broader North Atlantic Critical Metals Corridor vision linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.
