Greenland Mines Adopts One-Year Stockholder Rights Plan to Thwart Coercive Takeovers

Greenland Mines (NASDAQ:GRML) announced that its board of directors has adopted a limited-duration stockholder rights plan, effective July 22, 2026, designed to protect stockholders from coercive takeover tactics and ensure they receive full and fair value in connection with any proposal to acquire the company or obtain control. The rights plan, which will remain in effect for one year unless redeemed, exchanged, or otherwise terminated earlier, is a defensive measure commonly known as a 'poison pill.'

Under the plan, rights generally become exercisable if a person or group acquires beneficial ownership of 15% or more of the company’s outstanding common shares, with certain existing holders grandfathered under specified conditions. This threshold is intended to deter any entity from accumulating a significant stake without triggering the plan. Greenland Mines stated that the plan is meant to provide the board with adequate time to evaluate acquisition proposals and does not prevent the board from considering or accepting offers determined to be in the best interests of stockholders.

The adoption of the rights plan comes as Greenland Mines continues to advance its dual-focus strategy in mining and biotech. The company operates two divisions: Mining, which is focused on the exploration and development of the Skaergaard Project in southeast Greenland and, subject to closing of a previously announced transaction, the Sarfartoq neodymium-praseodymium (Nd-Pr) rare earths project in southwest Greenland; and Biotech, which includes Klotho’s KLTO‑202 primary indication for ALS. The company’s strategy is centered on building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities, while advancing its broader North Atlantic Critical Metals Corridor vision linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.
