LifeQuest World Corp. (OTCID: LQWC) announced the completion of its acquisition of an established Pacific Northwest waste management equipment company, effective June 12, 2026. The all-equity transaction, structured with no cash consideration at closing, adds approximately $3.5 million in annual revenue and transforms LifeQuest from a development-stage holding company into a revenue-generating, multi-subsidiary environmental services platform.

The acquired business, operating through two Oregon corporations, serves businesses, institutions, and municipalities across Oregon, Washington, Idaho, and Montana. It provides equipment sales, rentals, service, maintenance, and parts supply. The acquisition immediately establishes LifeQuest with three wholly-owned subsidiaries: BioPipe Global Corp. and the two Oregon-based entities, collectively addressing clean water and sustainable waste management.

LifeQuest issued 3,338,290 shares of Series B Preferred Stock (convertible into 100 common shares each) and an $85,000 unsecured promissory note at 6% interest as consideration. The acquired business generated $3.5 million in revenue for fiscal 2025, with a GAAP net loss of approximately $4,400 due to non-recurring non-cash charges. Excluding those items, normalized pre-tax income was about $211,000. The company also held $581,665 in deferred revenue as of December 31, 2025, providing revenue visibility for 2026.
