MAX Power Mining Secures $6 Million from Eric Sprott Warrant Exercise to Accelerate Natural Hydrogen Drilling

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has received $6,004,216.22 in proceeds from the exercise of 12,138,548 warrants by Eric Sprott, through 2176423 Ontario Ltd. The exercise, completed on Aug. 24, 2026, follows a series of investments made since August 2025. This capital injection is set to accelerate the company's commercial validation drill program at the Lawson Complex in Saskatchewan, where MAX Power is delineating its Natural Hydrogen system.

The funding is a significant endorsement from one of the most prominent investors in the resource sector. Eric Sprott's continued investment underscores the potential of MAX Power's Lawson Discovery, which represents Canada's first-ever subsurface Natural Hydrogen system confirmed through deep drilling. The data from this discovery has been validated by three independent laboratories, adding credibility to the project's prospects.

Following the warrant exercise, Sprott now beneficially owns, directly or indirectly, 47,123,527 shares of MAX Power, representing approximately 24.35% of the company's 193,505,888 issued and outstanding common shares. He also holds an additional 16.5 million warrants, indicating potential for further investment. This level of ownership and ongoing financial commitment from a seasoned investor like Sprott signals strong confidence in MAX Power's strategic direction.

CEO Ran Narayanasamy emphasized that the funds will be used to expedite the commercial validation drill program at the Lawson Complex. The objective is to prove the commercial viability of the Natural Hydrogen resource, which could position MAX Power as a leader in this emerging clean energy sector. Natural Hydrogen, also known as white or gold hydrogen, is a carbon-free energy source that occurs naturally in the subsurface, and its development could play a crucial role in the global energy transition.

MAX Power has built a dominant district-scale land position in Saskatchewan, with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. This extensive land package provides the company with a significant competitive advantage in the race to commercialize this resource.

In addition to the Natural Hydrogen projects, MAX Power holds a portfolio of properties in the United States and Canada focused on critical minerals. Notably, the company's Willcox Playa Lithium Project in southeast Arizona, 100%-owned by its U.S. subsidiary, saw a diamond drilling discovery in 2024. These diverse assets provide shareholders with exposure to both the clean energy and critical minerals sectors, both of which are expected to see substantial growth in the coming years.

Furthermore, MAX Power announced that President and Director Chad Levesque will present at the Clean Energy & Metals Virtual Investor Conference on Aug. 27 from 1:30-2 p.m. ET. This live online event will provide investors with an opportunity to ask questions in real time, and an archived webcast will be available after the event. This presentation is expected to offer deeper insights into the company's recent developments and future plans.

The importance of this funding extends beyond the immediate capital. It validates the company's technical approach and strategic vision, potentially attracting additional institutional interest. With the financial backing in place, MAX Power is well-positioned to advance its Natural Hydrogen projects and other mineral assets, contributing to the broader goal of decarbonization.
